Laugh Out - Gay Comedy Show

RELEASE AND WAIVER OF CLAIMS

      In consideration for my video/audio clip for use in the “Laugh Out” programming (the “Program”) produced by WooHoo! Entertainment (the “Producer”), I hereby agree as follows:

      I hereby release and hold harmless the Producer, their respective subsidiaries and affiliated companies, divisions, trustees, franchisees, participating vendors, distributors and advertising and promotion agencies, and all of their respective directors, shareholders, officers, employees, agents, successors and assigns (collectively, the “Released Parties”), from any and all rights, claims, demands, losses, damages, expenses, costs and actions (including reasonable attorneys' fees) which I, my heirs, executors or assigns may have in connection with my voluntary participation in the Program, including without limitation, any bodily injuries, death, personal injuries or property damage that I may incur or which may arise or result from my voluntary participation in the Program, including any travel or related activity thereto (including any claim that such use invades any right of privacy and/or publicity). I acknowledge that my participation in the Program shall be subject to the Official Rules and Regulations and that the decisions of the Producer is final and binding on all matters.

      I understand and acknowledge that I hereby grant the Released Parties the perpetual, worldwide right to make both visual and/or audio recordings and still images of me and to use my name, voice, performance, likeness, and biographical information (including my Video, Entry Materials, etc. in connection with any related programming, promotional/marketing materials, and/or other media (collectively, the “Media”) and for the purpose of advertising, marketing and/or promoting the Released Parties. I agree that the rights granted hereunder shall include the perpetual, worldwide right of the Released Parties and their designees to edit, telecast, cablecast, rerun, record, publish, reproduce, use, license, print, distribute or otherwise exploit the Media in any manner and in any medium or forum whether now known or hereafter devised, in whole or in part, without any further compensation whatsoever to or approval from me.

      I understand that I may reveal, and other parties may reveal, information about me that is of a personal, private, embarrassing or unfavorable nature, which information may be factual and/or fictional. I further understand that my appearance, depiction and/or portrayal during the Program may be disparaging, defamatory, embarrassing or of an otherwise unfavorable nature which may expose me to public ridicule, humiliation or condemnation. I acknowledge and agree that Released Parties shall have the right to: (a) include any or all such information and any or all such appearances, depictions or portrayals in the Program as edited by Released Parties in their sole discretion and (b) to broadcast and otherwise exploit the Program containing any or all such information and any or all such appearances, depictions or portrayals in any manner whatsoever in any and all media now known or hereafter devised, or for any other purpose, throughout the universe in perpetuity.

      On behalf of myself, my relatives, heirs, assignees, executors, administrators, successors and assigns, I hereby release and hold harmless Released Parties from and against all claims and damages arising out of or relating in any way to the Released Parties’ exploitation of the rights granted herein.

      I agree to indemnify the Released Parties and to hold such Released Parties harmless from any and all liability, claim, action, damage, expense, and loss of any kind caused by or arising out of any statement, action or failure to act by me during or in connection with my participation in the Program.

      In the event any provision of this Release and Waiver is found to be contrary to any law or regulation, the other provisions of this Release and Waiver shall not be affected thereby and shall continue in full force and effect.

      I hereby warrant and represent that I am: (i) a legal resident of the fifty (50) United States or the District of Columbia, (ii) 18 years of age. I further warrant and represent that neither I, nor any member of my immediate family or those living in my same household, is an employee of Producer, their respective parents, subsidiary and affiliated companies, divisions, trustees, franchisees, participating vendors, distributors or advertising and promotion agencies,

      I agree to be available and to participate, for no additional consideration, as, when and where Producer may require in connection with publicity, interviews and similar matters (for example, to appear on news shows, talk shows and other programs, and to make other appearances as required by producer) in connection with the Program.

      I warrant and represent that I have (i) read and agree to be bound by the terms of the Official Rules, (ii) the right to enter into this agreement, (iii) the right to grant the rights described herein, and that this Release and Waiver does not in any way conflict with any existing commitment on my part. I understand that if I advance in the Program that I may be required to execute and return other documents, as specified by Producer, in its sole discretion.

      I have truthfully and accurately completed the attached Application and the answers and information I have supplied are in no way untruthful, inaccurate or misleading. I acknowledge that Producer reserves the right, exercisable at any time at its sole discretion, to disqualify me from the Program should I at any stage supply untruthful, inaccurate or misleading personal details and information, fail to abide by the Official Rules, or otherwise breach the terms contained herein.

      I agree that this Waiver and Release shall be governed by the laws of the State of Georgia for contracts entered into and wholly performed therein and the venue for any disputes shall be the state and federal courts located in Fulton County, Georgia.
