Laugh Out - Gay Comedy Show

OFFICIAL RULES AND REGULATIONS

GENERAL DESCRIPTION

WooHoo! Entertainment (“Producer”), the newly formed entertainment division of Creaxion®, one of Atlanta’s leading Advertising, Public Relations and Event Marketing agencies seeks submission by members of the public of their video and audio clips for possible inclusion in Laugh Out, the place for gay comedy on television and online (www.LaughOut.com).

PROCEDURES

1. Persons wishing to enter the video clip segment and the audio (“Queen of Country Music”) segment of the show may submit as many audio/video clips and scenes as they wish through our online submission process. Entrants will be prompted to include their contact information and brief detail about their submission. This information will be provided on the official submission form.

3. All submissions must be made through the online submission form. All submission media shall become the sole property of Producer and may be used in any manner in any media. Producer is not responsible for misdirected media under any circumstances.

4. A complete submission will be uploaded for consideration. Performers/participants will be required to agree to the Terms and Conditions of the Producer, complete an “Official Submission Form”and agree to the Laugh Out “Release and Waiver” terms. The Producer will select “Virtual Cast Members” that may be featured online and/or on-the-air. Cast members, producers and fans of Laugh Out will vote on and judge viewer submissions. Creators of the winning scenes/segments/song submissions will need to submit the Any submission that does not meet all requirements will not be eligible for the inclusion in Laugh Out.

5. Submissions shot for commercial purposes are not eligible.

6. There is no fee to submit your video/audio clip. All submissions are free. Winning submissions, selected to appear on Laugh Out, will be paid a cash of $500.00

7. Producer reserves the right to edit and/or alter any submission.

8. Decisions of the Producer as to all inclusion and use matters are final. There is no appeal process, so no appeal can be made. All submissions are subject to the terms of these rules and all entrants agree to be bound by these rules and the decisions of the Producer. Producer reserves the right to amend these rules, as necessary, at any time.

9. Producer may, in its sole discretion, take whatever measures it deems necessary or appropriate to preserve the integrity of the program.

ELIGIBILITY

1. Submission of the video/audio clips is open to the general public except where prohibited or restricted by law.

2. Producer reserves the right to at any time implement new eligibility criteria and/or modify existing eligibility criteria, including, without limitation, geographical and age restrictions.

3. Persons must be 18 years of age or older.

4. Entrants submitting video/audio clips must agree to a Release and Waiver of Claims in the form presented attesting, among other things, to the fact that they are the rightful owners of the submitted material and that the clip may be submitted, broadcast and included on the website (www.LaughOut.com) without obtaining permission from or making any payment to any third party. All persons appearing in the submissions consent to the terms and the individual making the submission is deemed to have the consent of all parties necessary to make the submission. These release and/or consent forms will be provided by the Producer via the website and must be agreed to prior to submitting any materials. Notwithstanding the foregoing, the online submission constitutes the submitter’s permission to use the scene/audio (and the name, voice and likeness of the submitter) in and in connection with the program and all exploitations thereof, including, without limitation, advertising and promotion, in all media, and, further, constitutes the submitter’s representation that all necessary consents and permissions therefore have been obtained.

5. Each submission must be solely the original work of entrant.

6. Do not include any unoriginal music in the video submission.

7. Do not include titles of any kind in the video submission.

8. All dialogue in the video submission must be in English.

9. Each entrant represents that his/her submission does not infringe on any third party’s copyrighted material, trademark or other intellectual property rights.

10. By submitting video/audio entries through the online submission process, each entrant agrees to release, discharge, and hold harmless WooHoo! Entertainment and Creaxion and affiliated companies, licensees, and assigns, and their respective officers, directors, employees, agents and representatives from any claim or liability arising from or related to submission of the entry, participation in this project, appearance on the program or website.

Judging Criteria

1. Video/audio submissions will be judged by cast members, Producer and fans of Laugh Out on the basis of their comedic merit.

2. Cast members, Producer and fans of Laugh Out will select clips for inclusion in the program. Each submission will be uploaded for consideration and featured on the Laugh Out website (www.LaughOut.com). All submissions will be evaluated for their use in the program. Selected scenes will receive votes to determine which will be selected.

RELEASES

1. All entrants must agree to all consent forms.
